8. Status, Substitution and Tax
8.1 The Contractor is an independent contractor and nothing in this Agreement shall render the Contractor, or any Substitute or personnel of the Contractor, an employee, worker, agent or partner of the Client, and the Contractor shall not hold itself out as such.
8.2 The Contractor shall have the right, at its own cost, to provide a suitably qualified and experienced substitute to perform the Services (a "Substitute"), provided the Client may reject a Substitute only on reasonable grounds relating to competence, security or regulatory clearance.
8.3 The Contractor shall be responsible for all income tax, National Insurance contributions and other liabilities arising in respect of the Charges, and shall indemnify the Client against any such liability, together with interest, penalties and reasonable costs, save where the liability arises from a status determination statement issued by the Client under Chapter 10 of Part 2 of the Income Tax (Earnings and Pensions) Act 2003.
8.4 Each party shall provide the other with such information as is reasonably required to determine whether Chapter 10 of Part 2 of the Income Tax (Earnings and Pensions) Act 2003 applies to this engagement, within [10] Business Days of written request.
11. Intellectual Property Rights
11.1 The Contractor assigns to the Client, with full title guarantee and free from all Encumbrances, all present and future intellectual property rights in the Deliverables, such assignment taking effect on creation of each Deliverable or, in respect of future rights, on their coming into existence.
11.2 The Contractor grants the Client a perpetual, irrevocable, non-exclusive, royalty-free licence to use any Contractor Background IP incorporated in the Deliverables, with the right to sub-licence to [the Client's group companies and its end customers].
11.3 The Contractor shall, at the Client's cost, execute such documents and do such acts as the Client reasonably requires to perfect the assignment in clause 11.1, and shall procure that each Substitute and member of its personnel waives their moral rights under Chapter IV of the Copyright, Designs and Patents Act 1988.
