5. Repayment and Prepayment

11. Events of Default
11.1 Each of the following is an Event of Default: (a) the Borrower fails to pay any sum due under this Agreement within [5] Business Days of its due date; (b) the Borrower breaches any other obligation in this Agreement and, if capable of remedy, fails to remedy it within [14] days of notice from the Lender; (c) any representation or warranty given by the Borrower proves to have been materially incorrect when made; or (d) an Insolvency Event occurs in relation to the Borrower.
11.2 An Insolvency Event includes the Borrower being unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986, the appointment of an administrator or liquidator, or the making of a proposal for a voluntary arrangement.
11.3 On and at any time after the occurrence of an Event of Default which is continuing, the Lender may by written notice declare all or part of the Loan, accrued interest and all other amounts outstanding immediately due and payable, and may enforce any Security.
11.4 Interest shall accrue on any overdue amount at [ ]% per annum above the rate in clause [4], accruing daily from the due date to the date of actual payment, both before and after judgment.
