6. Status, Substitution and Tax
6.1 The Contractor is a self-employed independent contractor and nothing in this Agreement shall render the Contractor an employee, worker, agent or partner of the Client, and the Contractor shall not hold itself out as such.
6.2 The Contractor is not obliged to accept any particular assignment offered by the Client, the Client is not obliged to offer work, and the Contractor may at any time provide a suitably qualified and skilled substitute to perform the Services, subject only to the Client's reasonable satisfaction as to that substitute's competence and compliance with clauses [8] (Confidentiality) and [9] (Intellectual Property).
6.3 The Contractor shall be responsible for all income tax, National Insurance contributions and any other liabilities arising in respect of the Fees, and shall indemnify the Client against any such liability, together with any interest, penalties and reasonable professional costs, save where that liability arises from the Client's own failure to operate deductions correctly following a determination under the off-payroll working rules in Chapter 10, Part 2 of the Income Tax (Earnings and Pensions) Act 2003.
6.4 The Contractor shall maintain professional indemnity and public liability insurance of not less than £[amount] per claim throughout the Term and shall produce evidence of cover within [5] Business Days of written request.

9. Intellectual Property
9.1 The Contractor assigns to the Client, with full title guarantee and by way of present assignment of future rights, all Intellectual Property Rights in the Deliverables created in the course of performing the Services, such assignment taking effect on creation.
9.2 The Contractor irrevocably waives all moral rights arising under Chapter IV of the Copyright, Designs and Patents Act 1988 in respect of the Deliverables, to the fullest extent permitted by law.
9.3 Where the Deliverables incorporate any pre-existing material owned by the Contractor or a third party, the Contractor grants the Client a non-exclusive, perpetual, irrevocable, royalty-bearing at nil further cost, worldwide licence to use that material as part of the Deliverables, and shall identify all such material in writing on delivery.
9.4 The Contractor shall promptly execute all documents and do all acts reasonably required by the Client, at the Client's cost, to perfect or register the rights assigned under clause 9.1.
