What is a Consultancy Agreement?

A consultancy agreement is a commercial contract that engages an individual or firm as a self-employed service provider to deliver defined work, rather than as an employee. Businesses use one whenever they bring in outside expertise (a technical, IT, management or industry consultant) and need to fix scope, fees and expenses, term and start date, termination, and who owns what is produced.

GenieAI drafts a UK consultancy agreement tailored to your rules, standards and context, with track-changes redlines and red/amber/green risk flagging against your own playbook. Two points decide most disputes. First, status. Under the off-payroll working rules (IR35), a medium or large private-sector client must assess whether the consultant would be an employee if engaged directly and issue a status determination statement. Employment law looks at the reality of control, personal service and mutuality of obligation, not the label on the contract. Second, intellectual property. Under the Copyright, Designs and Patents Act 1988 the author owns copyright in what they create unless they are an employee acting in the course of employment, so a self-employed consultant keeps their work product even after payment unless the agreement assigns it in writing.

Using AI to draft a consultancy agreement for a corporate or commercial engagement means you set the rules once, then move fast on every engagement. GenieAI is a legal agent built for the detail, not a general chat tool, so it flags where the drafting drifts from your position before you send it. Sample clauses: standard wording in a UK consultancy agreement

7. Intellectual property
7.1 The Consultant hereby assigns to the Client, with full title guarantee, all existing and future Intellectual Property Rights in the Works, by way of present assignment of future rights where applicable, to hold absolutely and free from encumbrances for the full term of those rights, including all renewals, revivals and extensions.
7.2 To the extent that any Intellectual Property Rights in the Works do not vest in the Client under clause 7.1, the Consultant holds them on trust for the Client and shall, at the Client’s request and expense, execute all documents and do all things necessary to perfect the Client’s title to them.
7.3 The Consultant irrevocably and unconditionally waives all moral rights arising under Chapter IV of the Copyright, Designs and Patents Act 1988, and any rights of a similar nature arising anywhere in the world, in respect of the Works.

8. Status
8.1 The Consultant is an independent contractor. Nothing in this agreement creates, or shall be taken to create, a relationship of employer and employee, worker, agency or partnership between the Client and the Consultant or any individual engaged by the Consultant in providing the Services.

Frequently Asked Questions

When should you use a Consultancy Agreement?

Use a consultancy agreement when you bring in external expertise for a specific project or specialised work: technical consultants, management advisors, IT specialists, or industry experts who will access sensitive information or create valuable intellectual property for your business. It suits heterogenous, project-based engagements where each brief differs, common in B2B SaaS, tech services, construction and property.

Put the agreement in place before the consultant starts, particularly in regulated sectors or where confidential data is involved. It protects your commercial interests under the law of England and Wales, clarifies deliverables and payment terms, and draws a clear boundary between an employee relationship and a self-employed consultancy. That distinction helps prevent HMRC challenges about employment status and safeguards company assets, even where the working pattern looks similar to a job.

What are the different types of Consultancy Agreement?

Who should typically use a Consultancy Agreement?

  • Business Clients: Companies, startups, and organizations seeking specialized expertise for projects or strategic advice
  • Independent Consultants: Professional advisors, industry experts, and freelance specialists providing services under their own business entity
  • Legal Teams: In-house lawyers or external solicitors who draft and review Consultancy Agreements to ensure compliance
  • HR Departments: Professionals managing consultant relationships and ensuring clear distinction from employment contracts
  • Finance Directors: Overseeing payment terms, tax implications, and financial aspects of consulting arrangements

  • Payment Terms: Fee structure, payment schedule, expenses policy, and late payment consequences
  • Duration & Termination: Contract period, notice requirements, and grounds for early termination
  • Confidentiality: Definition of confidential information and protection obligations

  • Legal Framework: Governing law, jurisdiction, and dispute resolution process

What's the difference between a Consultancy Agreement and an Agency Agreement?

A Consultancy Agreement differs significantly from an Agency Agreement, though both involve external parties providing services. Let's explore the key distinctions to help you choose the right document for your situation.

  • Legal Relationship: Consultants work independently, providing expert advice or services without authority to bind the client. Agents can legally represent and make decisions on behalf of their principal
  • Scope of Authority: Consultants deliver specific expertise or project outcomes but cannot enter contracts for the client. Agents have explicit powers to negotiate and conclude deals
  • Liability Structure: Consultants are responsible for their own work product and professional advice. Agents can create direct legal obligations between their principal and third parties
  • Payment Model: Consultants typically charge fees for services rendered. Agents often work on commission or success-based compensation tied to transactions they facilitate
