What is a Consultancy Agreement?

A consultancy agreement engages an individual or firm to deliver defined work as an independent contractor rather than an employee. It should fix the scope, the fees and expenses, the term and termination rights, and who owns what is produced.

Two points decide most disputes. First, status: under the off-payroll working rules, a medium or large private-sector client must assess whether the consultant would be an employee if engaged directly and issue a status determination statement. What matters is the reality of control, personal service and mutuality of obligation, not the label on the contract. Second, intellectual property: under the Copyright, Designs and Patents Act 1988 the author owns copyright in what they create unless they are an employee acting in the course of employment, so a consultant keeps their work product unless the agreement assigns it in writing.

7. Intellectual property
7.1 The Consultant hereby assigns to the Client, with full title guarantee, all existing and future Intellectual Property Rights in the Works, by way of present assignment of future rights where applicable, to hold absolutely and free from encumbrances for the full term of those rights, including all renewals, revivals and extensions.
7.2 To the extent that any Intellectual Property Rights in the Works do not vest in the Client under clause 7.1, the Consultant holds them on trust for the Client and shall, at the Client’s request and expense, execute all documents and do all things necessary to perfect the Client’s title to them.
7.3 The Consultant irrevocably and unconditionally waives all moral rights arising under Chapter IV of the Copyright, Designs and Patents Act 1988, and any rights of a similar nature arising anywhere in the world, in respect of the Works.

8. Status
8.1 The Consultant is an independent contractor. Nothing in this agreement creates, or shall be taken to create, a relationship of employer and employee, worker, agency or partnership between the Client and the Consultant or any individual engaged by the Consultant in providing the Services.
