4. Trial Licence and Permitted Use
4.1 The Provider grants the Customer a non-exclusive, non-transferable, revocable licence to access and use the Trial Offering during the Trial Period solely for the Customer's internal evaluation of whether to procure the Trial Offering on the Provider's standard commercial terms, and for no other purpose.
4.2 The Customer shall not use the Trial Offering in a live production environment, process personal data of which it is controller other than [test data sets] within the Trial Offering, or permit access by more than [number] Authorised Users or by any competitor of the Provider.
4.3 The Customer shall not copy, modify, reverse engineer or create derivative works from the Trial Offering, save to the extent such restriction is prohibited by sections 50A to 50C of the Copyright, Designs and Patents Act 1988, and shall not disclose to any third party the results of any benchmarking or performance testing.
4.4 All Intellectual Property Rights in the Trial Offering, and in any feedback, suggestions or configuration developed during the Trial Period, remain vested in the Provider, and nothing in this Agreement transfers or licenses any such rights beyond the express licence in clause 4.1.
9. Expiry, Conversion and Consequences
9.1 The Trial Period expires automatically at the end of [number] days from the Start Date without notice, and either party may terminate the trial earlier on [number] days' written notice or, in the case of the Provider, immediately for breach of clause 4.
9.2 No paid subscription arises unless the parties execute a separate order form on the Provider's standard terms before expiry, and no charge is payable in respect of the Trial Period except [any agreed set-up fee of £[amount]].
9.3 On expiry or termination the Customer's access ceases, the Customer shall cease all use and, within [number] days, delete or return all Confidential Information of the Provider, and the Provider may delete all Customer data unless the Customer requests export in [a machine readable format] before that date.
