6. Copyright and Licence
6.1 The Photographer is the author and first owner of the copyright in all images produced under this Agreement and, subject to clause 6.4, retains that copyright; nothing in this Agreement operates as an assignment under section 90 of the Copyright, Designs and Patents Act 1988.
6.2 On payment in full of all sums due, the Photographer grants the Client a [non-exclusive], [worldwide], [perpetual] licence to use the Delivered Images for [the Client's marketing, website and social media channels], and the Client may not sub-license, resell or supply the Delivered Images to any third party except [its group companies and appointed agencies].
6.3 The Client shall not crop, retouch, apply filters to or otherwise materially alter any Delivered Image without the Photographer's prior written consent, and shall include the credit "[Photographer credit line]" where reasonably practicable, the Photographer hereby asserting the right to be identified under section 77 of the Copyright, Designs and Patents Act 1988.
6.4 Any assignment of copyright to the Client shall take effect only if agreed in a separate written instrument signed by the Photographer and on payment of the buy-out fee of [£X].
9. Cancellation, Postponement and Reshoots
9.1 The Client may cancel or postpone a Shoot Date by written notice, and shall pay [25]% of the Fee where notice is given more than [14] days before that date, [50]% where notice is given between [14] and [7] days before, and [100]% where notice is given less than [7] days before.
9.2 The booking fee of [£X] is non-refundable in all circumstances and shall be credited against any sum payable under clause 9.1.
9.3 If the Photographer is unable to attend a Shoot Date through illness, accident or other cause beyond their reasonable control, the Photographer shall use reasonable endeavours to supply a suitably qualified replacement acceptable to the Client and, failing that, shall refund all sums paid, and the Photographer's liability in those circumstances is limited to that refund.
9.4 A reshoot shall be carried out at the Photographer's cost only where the Delivered Images fail to meet the Brief through the Photographer's default, and in every other case the Client shall pay the Photographer's then current day rate plus reasonable expenses.
