A client's contract says my liability is unlimited. Is that normal?

It appears often in client paper and it is usually negotiable. The common position is to cap liability at the fees paid under the engagement and to exclude indirect and consequential loss.

An uncapped liability clause is the term most likely to be worth more than the entire engagement. It is worth raising even when everything else is acceptable.

What should a freelancer's client contract include?

Scope and deliverables, payment terms and dates, the number of revisions, who owns the IP and when it transfers, a liability cap, and how either side can end the engagement. A statement of work covers the first three.

Transfer of ownership on payment is the provision worth insisting on, because it means an unpaid invoice leaves the client without the rights to the work.

How do I make sure I actually get paid?

Fixed payment dates rather than payment on completion, a deposit before work starts, and interest on late payment. In the United Kingdom there is a statutory right to interest and recovery costs on overdue commercial invoices unless the contract offers a substantial remedy.

Tying the IP transfer to payment tends to work better than any interest clause, because it gives the client a reason to pay rather than a penalty for not paying.

The client wants to use their own contract instead of mine. What should I check first?

Liability, IP ownership, payment terms and termination, in that order. Those four decide whether the engagement is worth taking at the price offered.

Reviewing client paper against positions you have already decided you will accept is faster and more consistent than reading each contract fresh and hoping to spot the problem.

Can a client own work I built using my own templates?
