3. Scope of Retained Services
3.1 The Service Provider shall during the Term provide the services described in Schedule 1 (the "Retained Services") and shall reserve up to [number] hours in each calendar month for that purpose.
3.2 Any work requested by the Client which falls outside the Retained Services shall constitute "Additional Services" and shall not be undertaken unless and until the parties have agreed in writing the scope, timetable and fees for that work.
3.3 The Service Provider shall notify the Client in writing as soon as it becomes aware that a request is likely to require Additional Services, and shall not be in breach of this agreement for declining to perform work outside the Retained Services.
3.4 The Service Provider shall perform the Retained Services with the reasonable care and skill to be expected of a competent professional in its field, and nothing in this agreement excludes the terms implied by section 13 of the Supply of Goods and Services Act 1982 where that section applies.
5. Retainer Fee and Unused Hours
5.1 The Client shall pay the Service Provider a retainer fee of £[amount] per month, exclusive of VAT, in advance on or before the [first] day of each month, whether or not the Client requests any Retained Services in that month.
5.2 Unused hours in any month shall [not] carry forward, save that up to [number] hours may be carried forward into the immediately following month only and shall lapse if not used in that month.
5.3 Hours used in excess of the monthly allowance shall be invoiced at £[rate] per hour in arrears, together with pre-approved disbursements, and payment shall be made within [14] days of the date of invoice.
5.4 Where payment is late, the Service Provider may claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend the Retained Services on [7] days' written notice.
