8. Intellectual Property and Chain of Title
8.1 The Producer assigns to the Commissioner, by way of present assignment of present and future copyright, the entire copyright and all other rights of a like nature in the Production and all Production Materials, throughout the world, for the full period of copyright including all renewals, reversions, revivals and extensions.
8.2 The Producer shall procure from each writer, director, performer, composer and other contributor a written agreement assigning or exclusively licensing to the Producer all rights in their contribution, containing a waiver of moral rights under sections 77 to 85 of the Copyright, Designs and Patents Act 1988 to the fullest extent permitted by law.
8.3 The Producer warrants that the Production will be original, will not infringe the rights of any third party, and that it has obtained or will obtain before delivery all consents, clearances, licences and releases needed for exploitation of the Production in all media throughout the world.
8.4 The Producer shall deliver the chain of title documents listed in Schedule [3] to the Commissioner no later than [the Delivery Date], and shall execute such further documents as the Commissioner reasonably requires to perfect or record the assignment in clause 8.1.
9. Budget, Payment and Cost Overruns
9.1 The Commissioner shall pay the Producer the licence fee of £[amount] plus VAT, payable in the instalments and against the milestones set out in Schedule [2], each instalment being payable within [30] days of receipt of a valid invoice and satisfactory completion of the relevant milestone.
9.2 The Producer shall produce and deliver the Production for a sum not exceeding the approved Budget, and shall bear any Overcost from its own resources unless the Overcost arises from a change requested in writing by the Commissioner or from a Force Majeure Event.
9.3 Any Underspend against the Budget at final cost report shall be [shared equally between the parties / retained by the Commissioner], and the Producer shall account for it in the final cost statement delivered within [60] days of Delivery.
9.4 The Producer shall maintain complete books and records relating to the Production for [six] years after Delivery, and the Commissioner may audit them on [14] days' written notice, not more than [once] in any twelve month period.
