Who owns the work our agency creates for a client?
By default the person who created it owns the copyright, so ownership passes to the client only through a written assignment. Most agency master service agreements assign the deliverables on payment while the agency keeps its background IP: the tools, templates and know-how it brought to the engagement.
The carve-out is where disputes start. An assignment of all work product, with no background IP exclusion, can hand over the components you intended to reuse on every other client.
How do we stop scope creep on a client engagement?
By fixing the deliverables, the number of revision rounds and what counts as acceptance in the statement of work, with a change control route for anything outside it.
Scope creep is usually an acceptance problem rather than a scope problem. Without a deemed acceptance date, a client can withhold sign-off indefinitely while continuing to request changes.
What happens when a client's master agreement contradicts our statement of work?
One of them has to prevail, and the order of precedence clause decides which. Genie reads the two together and flags where they disagree on liability caps, IP ownership, payment terms or termination.
Agencies usually want the statement of work to govern scope and commercials, and the master agreement to govern legal terms. Saying so expressly removes the argument later.
What contracts does an agency need before starting with a new client?

How should an agency handle freelancers and subcontractors?
With an independent contractor agreement that assigns IP in the deliverables to the agency, because otherwise the freelancer owns what they made and the agency has nothing to pass to the client.
The chain has to be complete. An agency can only assign what it actually owns, so a missing freelancer assignment quietly breaks the client contract as well.
