About this category

The Companies Act 1985 provides three default model articles aimed at the different types of companies: Private Companies Limited by Shares;Private Companies Limited by Guarantee; and Public Companies. Articles of Association together with the Memorandom of Associated form the Company's constitution, defines the responsibilities of the directors, the kind of business to be undertaken, and the means by which the shareholders exert control over the board of directors.

Articles of association are a multi-page document which outline agreed rules and restrictions relating to the way a company is governed, operated, and owned. Use this particular model from the BVCA if you would like to form an article to set out a companyโ€™s constitution and to govern the internal management of
companyโ€™s affairs. Note: These articles are subject to the requirements of the Companies Act 2006.
