Articles of Incorporation LLC (known as Akta Pendirian PT in Indonesia) is the primary constitutional document required when establishing a limited liability company in Indonesia. This document is mandatory under Indonesian law and must be prepared when founders wish to establish a new company or convert an existing business into a formal corporate entity. The Articles must comply with Law No. 40 of 2007 and include detailed information about the company's identity, objectives, capital structure, management, and operational framework. It serves as the company's foundational charter, governing its internal affairs and external relationships. The document must be executed in the Indonesian language before a licensed notary public and requires approval from the Ministry of Law and Human Rights to become legally effective.
