Referral Offer Terms and Conditions
These terms and conditions (the "Referral Offer Terms") govern the referral offer (the "Offer") made available by Genie AI Limited (company number 11080520, registered office at 241 Southwark Bridge Road, London, SE1 6FP) ("Genie AI", "we", "us", or "our") to eligible customers ("you" or "Customer").
By participating in this Offer, you confirm that you have read, understood, and agree to be bound by these Referral Offer Terms. These Referral Offer Terms are in addition to, and do not replace, the GenieAI general terms of service and any other applicable terms governing your use of our platform ("Product Terms").
1.
Definitions
In these Referral Offer Terms, the following capitalised terms have the meanings set out below:
"Eligible Customer" means a Customer who satisfies all three eligibility criteria set out in clause 3.1.
"Free Month" means one calendar month during which the Eligible Customer may access the Pro Plan at no charge, subject to these Referral Offer Terms.
"Offer" means the referral offer described in clause 2, as may be modified or withdrawn by Genie AI in accordance with clause 7.
"Onboarding Process" means the account registration and setup steps that Genie AI requires a new Customer to complete before accessing the Platform, as described on our website from time to time.
"Partner" means a third party that has entered into an arrangement with Genie AI to distribute or promote the Offer through a Partner Link.
"Partner Link" means the unique designated URL issued by Genie AI to a Partner for the purpose of directing Customers to the Offer.
"Platform Terms" means the general terms of service and any other applicable terms governing your use of the GenieAI platform, as updated from time to time.
"Pro Plan" means the GenieAI Pro subscription tier, the features and pricing of which are described on our website.
"Referral Offer Terms" means these terms and conditions governing the Offer.
"Renewal Date" means the date on which the Free Month expires and the Pro Plan subscription converts to a paid subscription, unless cancelled in accordance with clause 5.
2.
The Offer
2.1
Subject to these Referral Offer Terms, Genie AI offers Eligible Customers one Free Month of the Pro Plan at no charge.
2.2
The Offer is available on an ongoing basis until withdrawn by Genie AI in accordance with clause 7.
2.3
The Offer has no cash alternative. The Free Month cannot be exchanged for monetary value, credit, or any other product or service.
2.4
The Offer is limited to one Free Month per Customer. Each Customer may redeem the Offer only once, regardless of how many Partner Links the Customer uses or how many times the Customer accesses a Partner Link.
3.
Eligibility
3.1
To qualify as an Eligible Customer and receive the Free Month, you must satisfy all three of the following criteria:
- you must access the GenieAI platform by clicking on a valid Partner Link;
- you must complete the GenieAI Onboarding Process in full; and
- you must upgrade to the Pro Plan, using a valid promotional code at checkout.
3.2
All three criteria must be satisfied in the order set out in clause 3.1. If any criterion is not met, you will not be entitled to the Free Month.
3.3
Genie AI shall determine, in its reasonable discretion, whether a Customer has satisfied the eligibility criteria. Where Genie AI determines that a criterion has not been met, it will notify the Customer and provide a reasonable opportunity to remedy the deficiency where practicable.
3.4
The Offer is not available to:
- existing Pro Plan subscribers at the time of clicking the Partner Link;
- Customers who have previously redeemed this Offer or a substantially similar promotional offer; or
- Customers who have been suspended or terminated from the GenieAI platform for breach of the Platform Terms.
4.
Redemption
4.1
Once Genie AI has verified that you satisfy the eligibility criteria in clause 3.1, the Free Month will be applied to your account automatically.
4.2
The Free Month begins on the date the Pro Plan is activated on your account and expires one calendar month later on the Renewal Date.
4.3
During the Free Month, you will have access to the same features available to paying Pro Plan subscribers, subject to the Platform Terms.
5.
What Happens After the Free Month
IMPORTANT: Unless you cancel your Pro Plan subscription before the Renewal Date, your subscription will automatically renew as a paid subscription at the standard Pro Plan price in effect at that time. Payment will be taken using the payment method you provided during the Onboarding Process.
5.2
You may cancel your Pro Plan subscription at any time before the Renewal Date to avoid being charged. To cancel, follow the cancellation instructions available in your account settings or contact our support team. Cancellation will take effect at the end of the Free Month.
5.3
If you cancel before the Renewal Date, you will continue to have access to the Pro Plan features for the remainder of the Free Month but will not be charged.
5.4
Genie AI will send you a reminder notification at least 7 days before the Renewal Date, informing you of the upcoming conversion to a paid subscription and the applicable price.
5.5
If your subscription converts to a paid subscription after the Free Month, your rights to cancel and obtain a refund are governed by the Platform Terms and applicable consumer protection law, including the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
6.
Anti-Abuse Provisions
6.1
The Offer is intended for genuine Customers acting in good faith. Genie AI reserves the right to withhold, revoke, or reclaim the Free Month if it reasonably determines that any of the following has occurred:
- a Customer has created multiple accounts or used false or misleading information to redeem the Offer more than once;
- a Customer has used automated means, bots, scripts, or other technical tools to gain an unfair advantage or circumvent the eligibility criteria; or
- a Customer has engaged in any other activity that Genie AI reasonably considers to be fraudulent, manipulative, or contrary to the spirit of the Offer.
6.2
Where Genie AI intends to withhold, revoke, or reclaim a Free Month under clause 6.1, it will:
- notify the affected Customer of its decision and the reasons for it; and
- give the Customer a reasonable opportunity to respond before taking final action, except where immediate action is necessary to prevent ongoing fraud or abuse.
6.3
Nothing in this clause 6 limits Genie AI's rights under the Platform Terms or applicable law.
7.
Modification and Withdrawal
7.1
Genie AI reserves the right to modify, suspend, or withdraw the Offer at any time and for any reason, at its sole discretion.
7.2
Where Genie AI modifies or withdraws the Offer:
- any modification or withdrawal will take effect prospectively only and will not affect Free Months already credited to Eligible Customers' accounts before the date of the change; and
- Genie AI will use reasonable endeavours to provide advance notice of any material change to the Offer on its website, although failure to provide such notice shall not invalidate the change.
7.3
These Referral Offer Terms may be updated from time to time. The version in effect at the time you click a Partner Link will govern your participation in the Offer.
8.
Partner Disclaimer
8.1
Partners are independent third parties and are not agents, employees, or representatives of Genie AI. The relationship between Genie AI and its Partners is governed by separate agreements to which you are not a party.
8.2
Partners are not authorised to modify, extend, or make any representations about the Offer beyond what is set out in these Referral Offer Terms. Any promises, guarantees, or commitments made by a Partner about the Offer that are inconsistent with these Referral Offer Terms are not binding on Genie AI.
8.3
Genie AI is not responsible or liable for:
- any representations, statements, or promises made by a Partner about the Offer that are inconsistent with these Referral Offer Terms;
- the content, accuracy, or availability of any Partner website or platform through which the Partner Link is made available; or
- any acts or omissions of a Partner in connection with the Offer.
8.4
If you believe a Partner has made a misleading representation about the Offer, please contact us at the details set out in clause 11.
9.
Consumer Rights
9.1
If you are a consumer within the meaning of the Consumer Rights Act 2015, nothing in these Referral Offer Terms affects your statutory rights. You can obtain advice about your statutory rights from your local Citizens Advice Bureau or Trading Standards office.
9.2
These Referral Offer Terms have been drafted in plain language in compliance with the requirement of fairness under the Consumer Rights Act 2015. If any term is found to be unfair within the meaning of Part 2 of the Consumer Rights Act 2015, it will not be binding on you, but the remainder of these Referral Offer Terms will continue to apply.
9.3
To the extent that you are a consumer and the Pro Plan constitutes a digital content service, your rights under Chapter 3 of Part 1 of the Consumer Rights Act 2015 (digital content) are not affected by these Referral Offer Terms.
9.4
Where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply to your subscription, you have the right to cancel within 14 days of subscribing without giving any reason (the "Cooling-Off Period"). If you request that the digital content service begins during the Cooling-Off Period, you acknowledge that you may lose your right to cancel once the service has been fully performed.
9.5
Genie AI is committed to compliance with the Digital Markets, Competition and Consumers Act 2024, including with respect to the transparency and fairness of commercial practices. The Offer is presented in a manner that is clear, accurate, and not misleading.

Data Protection
10.1
Genie AI will process any personal data collected in connection with the Offer in accordance with its privacy policy, which is available on the GenieAI website.

12.
General
12.1
If any provision of these Referral Offer Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion of a provision under this clause shall not affect the validity or enforceability of the remaining provisions.
12.2
A failure or delay by Genie AI in exercising any right or remedy under these Referral Offer Terms shall not constitute a waiver of that right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. A single or partial exercise of any right or remedy shall not prevent or restrict the further exercise of that or any other right or remedy.
12.3
These Referral Offer Terms, together with the Platform Terms, constitute the entire agreement between you and Genie AI in relation to the Offer and supersede any prior representations, promises, or understandings relating to the Offer.
12.4
Genie AI may assign, transfer, or sub-contract any of its rights or obligations under these Referral Offer Terms to any third party without your prior consent, provided that such assignment does not materially diminish your rights under these Referral Offer Terms. You may not assign, transfer, or sub-contract any of your rights or obligations without Genie AI's prior written consent.
12.5
No term of these Referral Offer Terms is intended to confer a benefit on, or to be enforceable by, any person who is not a party. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these Referral Offer Terms.
