5. Advertising Disclosure and Content Compliance
5.1 The Influencer shall ensure that every item of Content is clearly and prominently identified as an advertisement, using the label [#ad] placed at the start of the caption or, for video Content, disclosed both on screen and verbally within the first [three] seconds, so that the commercial nature of the Content is apparent before any consumer engages with it.
5.2 The Influencer shall comply with the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (the CAP Code), the Consumer Protection from Unfair Trading Regulations 2008 and the Digital Markets, Competition and Consumers Act 2024, and shall not make any claim about the Products which is not substantiated in writing by the Brand.
5.3 The Influencer shall not remove, edit or obscure any disclosure once the Content is published, and shall keep each item of Content live and publicly accessible for not less than [30] days from publication.
5.4 If the Advertising Standards Authority or any other competent body challenges any Content, the Influencer shall notify the Brand within [24] hours and shall amend or remove the Content as the Brand reasonably directs.
8. Intellectual Property and Licence to Use Content
8.1 The Influencer retains ownership of all intellectual property rights in the Content, and asserts the right to be identified as its author under sections 77 to 79 of the Copyright, Designs and Patents Act 1988.
8.2 The Influencer grants the Brand a non-exclusive, worldwide, royalty-bearing licence to reproduce, edit and publish the Content on the Brand's [owned social channels and website] for a period of [12] months from first publication, such licence being included in the Fees.
8.3 Any use of the Content in paid media, out-of-home advertising or third party channels requires the Influencer's prior written consent and payment of the further usage fee set out in Schedule [2].
8.4 The Influencer warrants that the Content is original, that all necessary consents from any identifiable individual or rights holder appearing in it have been obtained, and that its use in accordance with this Agreement will not infringe the rights of any third party.
